Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website operated by Soluxe Agency Ltd ("Soluxe," "we," "us," or "our"), a company registered in Malta.

1. Services

Soluxe provides marketing strategy, performance marketing, SEO, brand development, website development, AI automation, and systems enablement services. The specific scope, deliverables, and terms of any engagement will be defined in a separate Statement of Work (SOW) or service agreement.

2. Engagement Terms

All service engagements are subject to a signed Statement of Work or service agreement that will outline: scope of work, deliverables, timelines, fees, payment terms, and any specific conditions applicable to the engagement.

3. Payment Terms

Payment terms will be specified in the relevant Statement of Work. Unless otherwise agreed, invoices are due within 14 days of issue. All fees are quoted in EUR unless otherwise specified. Late payments may incur interest at a rate of 2% per month.

4. Intellectual Property

Upon full payment, the client receives ownership of all deliverables created specifically for them during the engagement. Soluxe retains the right to use general methodologies, frameworks, and tools developed or refined during the engagement, provided they do not contain client-specific confidential information.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any agreement between the parties.

6. Limitation of Liability

Soluxe's total liability for any claims arising from an engagement shall not exceed the total fees paid by the client for that specific engagement. Soluxe shall not be liable for any indirect, consequential, or incidental damages.

7. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client will pay for all work completed up to the termination date, and Soluxe will deliver all completed work product.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malta. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malta.

9. Website Use
